Terms & Conditions

SECTION 1: GENERAL TERMS & SERVICE AGREEMENT

1.1 ACCEPTANCE OF TERMS
By engaging D+P Digital's services or using our website, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

 

1.2 SERVICES PROVIDED
D+P Digital provides the following services:

Custom website design and development
AI-powered application development
3D architectural renderings for interior design and remodeling projects
Related digital design and development services

 

1.3 PROJECT SCOPE AND CHANGES
Scope Definition: All projects begin with a clearly defined scope of work. Any changes or additions to the original scope may result in additional charges.
Change Requests: Additional work beyond the original scope will be quoted separately and requires client approval before implementation.
Project Timeline: Project timelines are estimates based on the defined scope. Delays caused by client feedback, content provision, or scope changes may extend delivery dates.

 

1.4 CLIENT RESPONSIBILITIES
Content and Materials: Client is responsible for providing all necessary content, images, materials, timely feedback and approvals, access to required systems, and accurate project requirements.
Communication: Client agrees to respond to requests for feedback or approval within 5 business days to maintain project timeline.

 

1.5 INTELLECTUAL PROPERTY
Client Ownership: Upon full payment, client owns the final delivered work product.
Work in Progress: D+P Digital retains ownership of all work, files, and intellectual property until final payment is received in full.
Portfolio Rights: D+P Digital reserves the right to showcase completed work in our portfolio and marketing materials unless otherwise agreed in writing.

SECTION 2: PAYMENT TERMS & FINANCIAL POLICIES

2.1 PAYMENT STRUCTURE
All projects require a two-payment structure:

  • 50% deposit required to begin project - Due upon signing of project agreement

  • 50% final payment due upon project completion - Due before final delivery of completed work


2.2 NON-REFUNDABLE DEPOSIT POLICY
IMPORTANT: The initial 50% deposit is NON-REFUNDABLE under any circumstances.
This deposit:

  • Secures your project slot in our schedule

  • Covers initial development costs and planning

  • Compensates for work completed and resources allocated

  • By making this payment, you acknowledge and agree that this amount will not be returned regardless of project status, changes, or completion


2.3 FINAL PAYMENT TERMS
The remaining 50% balance is due immediately upon project completion and before final files or access are delivered to the client.

2.4 PAYMENT METHODS & LATE FEES
Accepted Payments:

  • Bank transfer/ACH

  • Zelle Transfer

  • Check (projects will not begin until check clears)

Late Payment Policy: Payments not received within 10 days of due date will incur a 1.5% monthly service charge on the outstanding balance.

2.5 CANCELLATION POLICY
Client Cancellation: If client cancels a project after work has begun:

  • The 50% deposit is forfeited and non-refundable

  • Client will be billed for any additional work completed beyond the deposit amount

  • All work files and intellectual property remain with D+P Digital


D+P Digital Cancellation: If we must cancel a project due to circumstances beyond our control, we will refund any payments received minus compensation for work already completed.

SECTION 3: LEGAL PROTECTIONS & DISCLAIMERS

3.1 WARRANTIES AND LIMITATIONS
Service Warranty: We warrant that services will be performed in a professional manner consistent with industry standards.
Website Functionality: Websites are tested across major browsers and devices. We cannot guarantee compatibility with all possible browser/device combinations.
Third-Party Services: We are not responsible for third-party service failures, including but not limited to hosting, domain registration, or external integrations.

3.2 LIMITATION OF LIABILITY
D+P Digital's total liability for any claims related to our services shall not exceed the total amount paid by the client for the specific project in question.


3.3 SUPPORT AND MAINTENANCE
Included Support: All projects include 30 days of free support for bug fixes and technical issues related to our work.
Ongoing Maintenance: Ongoing website maintenance, updates, and modifications are available under separate maintenance agreements.


3.4 CONFIDENTIALITY
D+P Digital agrees to maintain confidentiality of all client information and will not disclose sensitive business information to third parties.


3.5 LEGAL COMPLIANCE
Governing Law: These terms shall be governed by the laws of the State of Oregon, United States. Any disputes shall be resolved in the courts of Washington County, Oregon.
Force Majeure: D+P Digital shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control.
Severability: If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
Modifications: D+P Digital reserves the right to modify these terms at any time. Updated terms will be posted on our website with the effective date.
